Â鶹ֱ²¥ & Lardner LLP served as legal counsel to Dream Finders Homes, Inc. (NYSE: DFH) in its definitive agreement to acquire Beazer Homes USA, Inc. (NYSE: BZH) in an all-cash transaction with an enterprise value of approximately $2.2 billion.

The combination will create the nation’s sixth-largest homebuilder, bringing together two highly complementary platforms with expanded product offerings, deeper capabilities, and a stronger bench of experienced homebuilding talent, operational expertise, and customer-focused culture.

Under the terms of the agreement, Beazer shareholders will receive $33.50 per share in cash. The transaction, unanimously approved by the boards of directors of both companies, is expected to close in the fourth quarter of 2026 subject to customary closing conditions, including shareholder and regulatory approvals.

Upon closing, the combined company will operate in 26 markets with approximately 520 active communities, spanning some of the country’s largest and fastest-growing housing markets. With broader reach across entry-level and move-up communities, the combined company will be well-positioned to serve a wider range of buyers across multiple price points while supporting affordability through purchasing efficiencies and a more seamless homebuying experience.
